These Terms and Conditions ("Terms") govern access to and use of allioo.studio (the "Site"), including all Wix Studio templates, Wix applications, bundles, subscription plans, and related services (collectively, the "Products") offered by Allioo LLC, doing business as Allioo Studio ("Allioo Studio," "we," "us," or "our"). By accessing the Site, purchasing a Product, or subscribing to an App, you ("Customer," "you," or "your") agree to be bound by these Terms. If you do not agree, do not use the Site or purchase any Product.

1. Definitions

• "Template" means a Wix Studio website template design file, including all associated pages, sections, CMS collections, and design assets, made available for purchase or license through the Site or the Wix Studio Marketplace.

• "App" means a Wix application built and published by Allioo Studio, distributed through the Wix App Market, and offered on a subscription basis.

• "Individual License" means a license to a single Template purchased outside of a subscription plan.

• "Bundle" means a curated group of Templates sold together at a single price, including niche bundles and agency bundles.

• "All-Access Plan" means the annual subscription granting access to the full Template catalog for the duration of the subscription.

• "Commercial Rights" means the right to use a Template or App in a revenue-generating website or product, as further defined in Section 5.

• "Setup Service" means the paid, contractor-fulfilled service in which Allioo Studio or its designated contractor performs initial Template installation and configuration on Customer's behalf.

• "Trial Period" means the free, time-limited period during which Customer may use an App before being billed, as described in Section 6.

2. Products Offered

2.1 Templates

Templates are offered under the following structure. Current pricing for each tier is published on the Site and the Wix Studio Marketplace and is subject to change at Allioo Studio's discretion; the price in effect at the time of purchase applies to that purchase:

• Individual Templates: sold under an Individual License.

• Niche Bundles: curated groups of Templates within a category (e.g., Real Estate, SaaS, Consulting), granting licenses to all Templates included in that bundle at time of purchase.

• Agency Bundle: grants licenses to the Templates designated as part of the Agency Bundle at time of purchase.

• All-Access Plan: an annual subscription granting access to the full Template catalog for the active subscription term, including Commercial Rights as defined in Section 5.3. Introductory or promotional pricing may be offered at Allioo Studio's discretion and applies only for the stated promotional period.

2.2 Setup Service

The Setup Service is offered separately and is fulfilled by Allioo Studio or a designated contractor. Current pricing is published on the Site. The Setup Service covers installation and baseline configuration only. It does not include ongoing maintenance, content population beyond what is agreed in writing, custom design changes, or third-party integrations unless separately scoped and agreed to in writing.

2.3 No Customization

Templates are sold as-is in their published form. Allioo Studio does not offer bespoke design customization as part of a standard Template purchase. Any custom work requested by Customer must be separately quoted and agreed to in writing and is not covered by these Terms.

2.4 Payment

All purchases and subscription charges are processed through Wix's payment infrastructure or a designated third-party payment processor. By completing a purchase or starting a Trial Period, Customer authorizes Allioo Studio (via its payment processor) to charge the payment method provided once billing begins. All prices are listed in U.S. Dollars unless otherwise stated and are subject to change; Allioo Studio will provide reasonable notice of price changes to active subscribers before they take effect on renewal.

3. Template License Grant

3.1 Individual License

Upon payment, Allioo Studio grants Customer a non-exclusive, non-transferable, worldwide license to use the purchased Template to build and publish one (1) live website per Template purchased, for either personal or client use, subject to Section 5 (Commercial Rights).

3.2 Bundle License

A Bundle purchase grants an Individual License, as defined in Section 3.1, to each Template included in that Bundle at the time of purchase. Bundle composition may change over time for future purchasers; Customer's license applies to the Templates included at the time of Customer's purchase.

3.3 All-Access License

For the duration of an active All-Access subscription, Customer is granted a non-exclusive, non-transferable license to use any Template in the catalog to build and publish websites, subject to Section 5.3. Upon cancellation or expiration of the subscription, Customer's right to access and download new Templates ends; however, licenses already exercised for live, published websites during the active subscription period survive termination under a "use it while active, keep what you published" model, unless otherwise stated at checkout.

3.4 License Restrictions

Customer may not:

• Resell, sublicense, redistribute, or share a Template file itself (as opposed to a website built using it) to any third party;

• Upload a Template or its source files to any marketplace, template repository, stock asset site, or file-sharing service;

• Claim authorship or ownership of the underlying Template design or code;

• Use a Template to build a competing template marketplace product;

• Remove or alter any embedded attribution, licensing metadata, or watermark, where present.

4. Ownership and Intellectual Property

All Templates, Apps, source files, design assets, and associated code remain the exclusive intellectual property of Allioo LLC / Allioo Studio. Purchase or subscription of a Product conveys a license to use, as described in Section 3 (Templates) and Section 6 (Apps) — it does not convey ownership, copyright, or any intellectual property right in the underlying design or code. All rights not expressly granted in these Terms are reserved by Allioo Studio.

Any content, images, or copy that Customer inserts into a Template or App remains the property of Customer or Customer's respective content owner.

5. Commercial Rights (Templates)

5.1 Standard Individual and Bundle Purchases

Templates purchased individually or as part of a Niche or Agency Bundle include the right to use the Template in a single commercial (revenue-generating) website, including client work, unless otherwise noted on the specific listing.

5.2 Agency Use

The Agency Bundle is intended for use by agencies and freelancers building sites for multiple clients. Each client website built from an Agency Bundle Template requires its own use instance under Section 3.1; the Agency Bundle license does not permit reproducing the same Template across unlimited client sites without a licensed use per site, unless expressly stated in the Agency Bundle listing.

5.3 All-Access Commercial Rights

The All-Access Plan includes full Commercial Rights for the duration of the active subscription, permitting use of any catalog Template in unlimited personal or client commercial projects published while the subscription is active.

5.4 Prohibited Commercial Use

Regardless of license tier, Customer may not use a Template as the core deliverable of a competing template or theme resale business.

6. Wix Apps

This section applies specifically to Wix applications developed and published by Allioo Studio ("Apps"). Apps are distributed and installed through the Wix App Market. Where Customer clicks through from allioo.studio to an App, that link leads to the App's official Wix App Market listing, where installation and billing take place through Wix's infrastructure.

6.1 Distribution and Installation

Apps are listed exclusively on the Wix App Market. allioo.studio may link to an App's Wix App Market listing for discovery and marketing purposes, but the App itself is installed, configured, and run through Wix's platform, not downloaded or delivered directly from the Site.

6.2 Subscription Billing

All Apps are offered on a subscription basis. There is no one-time purchase option for Apps unless expressly stated on a specific App's listing. Subscriptions renew automatically at the then-current rate until cancelled by Customer through the Wix App Market or the App's in-dashboard billing settings. Pricing for each App is set on its Wix App Market listing and is subject to change; Allioo Studio will provide reasonable advance notice before a price change applies to an existing subscriber's renewal.

6.3 Trial Period

An App may be offered with a free Trial Period. Where a Trial Period is offered, its availability, length, and eligibility are set on the individual App's Wix App Market listing and may vary from App to App and change over time at Allioo Studio's discretion. Unless Customer cancels before the Trial Period ends, the subscription will automatically convert to a paid subscription at the end of the Trial Period and billing will begin. It is Customer's responsibility to review the trial terms on the applicable listing and to cancel through Wix's billing interface before the trial ends if Customer does not wish to be charged.

6.4 App License Grant

Subject to an active subscription and payment of applicable fees, Allioo Studio grants Customer a non-exclusive, non-transferable, revocable license to install and use the App on the Wix site(s) permitted under Customer's subscription tier, solely for Customer's own internal or client-facing business purposes. This license does not include any right to the App's underlying source code, and does not permit Customer to copy, reverse-engineer, decompile, or create a derivative or competing application based on the App.

6.5 Data Collection and Use

Apps may collect data generated through Customer's use of the App, which may include site content, user inputs, form submissions, usage patterns, and other operational data ("App Data"). Allioo Studio collects and uses App Data to operate, maintain, troubleshoot, and improve the App and to develop new features. Allioo Studio does not sell App Data to third parties. Where an App processes personal data belonging to Customer's own end users (e.g., Customer's website visitors or clients), Customer is responsible for ensuring it has the appropriate legal basis and disclosures (such as a privacy policy) to collect that data, and Allioo Studio acts as a service provider processing that data on Customer's behalf solely to provide the App's functionality. A separate Privacy Policy, to be published on the Site and/or the App's Wix App Market listing, will govern the specifics of what data is collected, how long it is retained, and Customer's rights regarding that data. Customer should review the applicable Privacy Policy before installing an App.

6.6 App Availability and Changes

Allioo Studio may update, modify, add features to, or discontinue an App at any time. Where Allioo Studio discontinues an App entirely, it will provide reasonable advance notice to active subscribers and, where feasible, a transition path or partial-period refund for the unused portion of a prepaid term.

6.7 Cancellation

Customer may cancel an App subscription at any time through the Wix App Market or the App's billing dashboard, effective at the end of the current billing period. No partial-period refunds are issued for mid-cycle cancellations, except where required by law or expressly stated in Section 7.4.

6.8 Wix App Market Terms

Use of any App is also subject to Wix's own Terms of Use and App Market policies. Where a conflict exists between Wix's App Market terms and these Terms with respect to app store conduct, listing standards, or platform-level billing mechanics, Wix's terms govern that aspect, while these Terms continue to govern the license, data use, and liability provisions between Customer and Allioo Studio.

7. Refund Policy

7.1 Templates

Because Templates are digital products delivered electronically, all Template sales are final once the Template files have been accessed, downloaded, or added to a Wix site, except as required by applicable law or as set out below.

7.2 Exceptions (Templates)

Allioo Studio will consider a refund or credit where:

• The Template is materially defective and Allioo Studio is unable to resolve the issue within a reasonable time after being notified; or

• The purchase was made in error and no download, installation, or Template access has occurred, and Customer contacts Allioo Studio within 48 hours of purchase.

7.3 Setup Service Refunds

Once work has commenced on a Setup Service engagement, fees become non-refundable for the portion of work completed. If Allioo Studio has not yet commenced work, Customer may cancel for a full refund within 24 hours of purchase.

7.4 App Subscriptions

App subscription refunds, including for charges applied after a Trial Period converts to paid, are handled per Wix App Market billing policy in the first instance. Where Wix's policy does not resolve the matter, Allioo Studio will consider a refund on a case-by-case basis for billing errors or undisclosed defects, but does not generally refund for a subscriber's failure to cancel a Trial Period before conversion.

8. Support

Allioo Studio provides reasonable support for installation questions and Template/App defects for a period stated on the Site or the applicable listing, via Allioo Studio's designated support channel. Support does not include custom development, third-party integration troubleshooting, or general Wix Studio education beyond the scope of the purchased Product. Response times are best-effort and not guaranteed under a service level agreement unless separately contracted.

9. Third-Party Platforms

Allioo Studio Products are built for and distributed through the Wix Studio platform and the Wix App Market. Customer's use of Wix's platform is separately governed by Wix's own Terms of Use, Marketplace Terms, and applicable policies. Allioo Studio is not responsible for outages, changes, discontinuations, or policy changes made by Wix that affect the functionality of a Template or App. Where a future Wix platform version (e.g., Wix Studio 2.0) requires Template migration, Allioo Studio will make commercially reasonable efforts to provide migration tools or guidance, but does not guarantee indefinite backward compatibility of every historical Template version.

10. Disclaimers

TEMPLATES AND APPS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ALLIOO STUDIO DOES NOT WARRANT THAT ANY TEMPLATE OR APP WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPATIBLE WITH FUTURE VERSIONS OF THE WIX PLATFORM.

Allioo Studio makes no guarantee regarding website traffic, conversion rates, SEO performance, or business outcomes resulting from use of any Template or App.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALLIOO LLC, ITS OWNERS, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE USE OF ANY TEMPLATE, APP, OR THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ALLIOO STUDIO'S TOTAL AGGREGATE LIABILITY TO CUSTOMER FOR ANY CLAIM ARISING FROM THESE TERMS OR ANY PRODUCT EXCEED THE AMOUNT ACTUALLY PAID BY CUSTOMER TO ALLIOO STUDIO FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

Customer agrees to indemnify, defend, and hold harmless Allioo LLC and its owners, employees, and contractors from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from Customer's misuse of a Template or App, violation of these Terms, or infringement of any third-party right through content Customer adds to a Template-based or App-based website.

13. Modifications to Terms and Products

Allioo Studio reserves the right to modify these Terms, Product pricing, bundle composition, and the App catalog at any time. Material changes will be posted on the Site with an updated "Last Updated" date. Continued use of the Site or a Product after changes take effect constitutes acceptance of the revised Terms. Changes do not retroactively reduce the license rights already granted for a completed purchase.

14. Termination

Allioo Studio may suspend or terminate Customer's access to the Site, an App subscription, or an All-Access subscription for violation of these Terms, including unauthorized redistribution of Template files or misuse of an App. Termination for cause does not entitle Customer to a refund of amounts already paid.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising from these Terms or a Product purchase shall first be addressed through good-faith informal negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration in Florida under the rules of the American Arbitration Association, and each party shall bear its own costs except as the arbitrator may otherwise award. This section does not prevent either party from seeking injunctive relief in court for intellectual property infringement.
